那一億多 2012/12/31 之前 還是被土銀列為呆帳當中哦

公司倒閉，債權人可否強制執行該公司負責人之財產？ 文 / 黃育杉 【台灣法律網】 公司屬法人，與自然人分屬不同種類之人格，公司負責人係依公司法由股東所選出，依法代表公司對外為法律行為，該公司負責人未依法代表公司時之行為，仍有其自然人之人格存在。但公司負責人以代表公司之名義對外所為之法律行為，其效力歸屬於公司法人，因此，屬於公司法人之債務，自應與自然人之財產所有區隔。 『原則上』，公司法人所積欠之債務，債權人依法不得以代表該公司之負責人個人（自然人）之財產為請求之標的。除非公司負責人對於公司業務之執行，有違反法令致他人受有損害時，該他人得依據公司法第23條規定，請求該負責人與公司之債務負連帶賠償之責。此時，公司之債權人，即得依民法第273條規定「連帶債務之債權人，得對於債務人中之一人或數人或其全體，同時或先後請求全部或一部之給付。連帶債務未全部履行前，全體債務人仍負連帶責任。」針對公司負責人之個人財產依法強制執行。 |
